Terms and Conditions - Boho Influencer Program

These terms and conditions ("Agreement") outline the rules and guidelines for participating in the Boho Influencer Program ("Program") offered by Boho Dress Official ("Company"). By participating in the Program, you ("Influencer") agree to comply with the following terms:

1.1 The Program is open to social media influencers across all platforms (including Instagram, YouTube, TikTok, and others) as well as individuals running blogs or websites.
1.2 To be eligible, Influencers must have a minimum of 10,000 active female followers/subscribers/visitors.
1.3 Applicants must be at least 18 years old and possess a genuine interest in bohemian fashion that aligns with the Company's brand values.

Application and Approval:
2.1 To apply for the Program, Influencers must send an email to [influencers (at) boho-dress (dot) com] with the subject line "Boho Influencer Collab Request."
2.2 The email should include the Influencer's name, social media handles, number of followers/subscribers, and a brief introduction explaining why their profile is a good match for Boho Dress Official.
2.3 Influencers must specify the desired dress or jewelry item they would like to receive for free as part of the Program.
2.4 The Company's team will review the application and respond with a proposal within a resonable timeframe and may not respond at all.
2.5 If the Influencer accepts the proposal, the Company will send the chosen item to the provided address at no cost, including shipping.

Program Participation:
3.1 Once approved, the Influencer agrees to wear the provided dress or jewelry item and create captivating content showcasing their boho style.
3.2 The Influencer must share an authentic review of the product with their followers, expressing their genuine opinions and experiences.
3.3 The Influencer should offer an exclusive discount code provided by the Company to their followers, promoting the Boho Dress Official brand.

Repeat Participation:
4.1 Influencers who enjoy the bohemian fashion journey and wish to participate again can repeat steps 2 and 3 of the Program.
4.2 The Company reserves the right to limit the frequency and number of times an Influencer can participate in the Program.

Rights and Usage:
5.1 By participating in the Program, the Influencer grants the Company permission to use the content created during the Program (including photos, videos, reviews) for promotional purposes on the Company's website, social media accounts, and other marketing channels.
5.2 The Influencer retains ownership of their original content but grants the Company a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the content.

Compliance and Ethical Conduct:
6.1 Influencers must comply with all applicable laws, regulations, and guidelines while participating in the Program.
6.2 Influencers shall not engage in any activities that could harm the Company's reputation or promote unethical behavior.
6.3 The Company reserves the right to terminate the participation of any Influencer who fails to comply with these terms and conditions or engages in inappropriate conduct.

Modification and Termination:
7.1 The Company reserves the right to modify or terminate the Program at any time without prior notice.
7.2 In the event of termination, any ongoing participation will be honored until completion, but no new applications will be accepted.

Limitation of Liability:
8.1 The Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to the Program.
8.2 The Influencer participates in the Program at their own risk and agrees to release the Company from any claims or liabilities.

Governing Law:
9.1 These terms and conditions shall be governed by and construed in accordance with the laws of Australia.
9.2 Any disputes arising from or in connection with the Program shall be subject to the exclusive jurisdiction of the courts in Australia.

Content Submission:
10.1 Influencers must submit their created content (photos, videos, reviews) to the Company for review and approval.
10.2 Content should be submitted within a specified timeframe communicated by the Company.
10.3 The Company reserves the right to request modifications or reject content that does not meet the Program's guidelines.

Social Media Tagging and Mentions:
11.1 Influencers are required to tag and mention Boho Dress Official in their social media posts featuring the provided dress or jewelry item.
11.2 The Company will provide specific tagging instructions and relevant hashtags to be used.

FTC Compliance:
12.1 Influencers must comply with all applicable Federal Trade Commission (FTC) guidelines and regulations regarding sponsored content, endorsements, and disclosures.
12.2 Influencers are responsible for disclosing their participation in the Boho Influencer Program to their followers in a clear and transparent manner.

13.1 Influencers agree to keep any confidential information shared by the Company during the Program confidential and not disclose it to any third parties.
13.2 Confidential information includes, but is not limited to, proprietary business information, strategies, product details, and trade secrets.

Feedback and Collaboration:
14.1 The Company encourages Influencers to provide feedback, suggestions, and ideas to improve the Program and the products offered.
14.2 The Company may seek collaboration opportunities with Influencers for future campaigns or product development.

Independent Contractor Relationship:
15.1 The relationship between the Influencer and the Company is that of an independent contractor.
15.2 This Agreement does not create any employer-employee relationship, partnership, agency, or joint venture between the Influencer and the Company.

Entire Agreement:
16.1 This Agreement constitutes the entire understanding between the Influencer and the Company regarding the Boho Influencer Program and supersedes any prior agreements or understandings, whether written or oral.

Performance Metrics:
17.1 The Company may request performance metrics and engagement statistics from Influencers periodically to assess the impact of the Program.
17.2 Influencers agree to provide accurate and up-to-date information regarding their followers/subscribers and engagement metrics upon request.

Exclusivity and Non-Compete:
18.1 Influencers participating in the Program agree to exclusivity with the Company during the collaboration period.
18.2 Influencers shall not promote or endorse competing brands or products that directly conflict with Boho Dress Official while participating in the Program.

By participating in the Boho Influencer Program, you acknowledge that you have read, understood, and agreed to these terms and conditions.
